SEC Rule 606 and FINRA Rule 6151

SEC Rule 606 requires all broker-dealers that route orders in equity and option securities to make available to the public, quarterly reports that present a general overview of their routing practices. The reports must identify the significant venues to which customer orders were routed for execution during the applicable quarter and disclose the material aspects of the broker-dealer's relationship with such venues. Information concerning the venues to which non-directed equity and/or option orders are routed and the nature of any relationship Lincoln may have with each venue - available on a free and public website for at least three years. These disclosures must be published within one month after the end of the quarter the report covers. In addition, Rule 606 requires broker-dealers to disclose, upon customer request, the venues to which the customer's individual orders were routed for execution in the six months prior to the request, whether the orders were directed or non-directed, and the time of the transactions, if any, that resulted from such orders. Lincoln is required to provide written notice to customers at least annually of the availability on request of the information.

FINRA Rule 6151 was adopted to make the reports mentioned in SEC Rule 606 more accessible for regulators, investors and others seeking to analyze and compare data. Under this rule, all broker-dealers that meet the requirement of SEC Rule 606 must provide the standardized report to FINRA in a timely manner for centralized publication. FINRA Regulatory Notice 24-05, permits a FINRA member introducing firm that routes all customer orders to a clearing firm that makes the routing decisions, to adopt its clearing firm’s Rule 606 reports by reference. As Lincoln is an introducing firm that routes all of its investor orders to Pershing as a clearing firm for further routing and execution and Pershing makes the routing decisions, Lincoln adopts Pershing’s Rule 606(a) reports by reference and 1) on a one-time basis has provided FINRA with a list naming Pershing as its clearing firm; and 2) the written disclosure of this clearing firm relationship; and 3) will update FINRA if this information changes.
